This Risk Disclosure Statement ("Statement") is provided by Spender CC Ltd, a company incorporated in the British Virgin Islands with its registered address at 4406, Road Town, VG1110, Tortola, British Virgin Islands, to ensure that users of the website spender.cc, the Spender.cc virtual card program, and associated wallet and conversion services (collectively, the "Services") understand the material risks involved before funding an Account, holding Digital Assets, or using the Card.

This Statement should be read alongside our Terms of Service and Privacy Policy. By using the Services, you acknowledge that you have read, understood, and accepted the risks described below.

Digital Asset Volatility

The value of Digital Assets, including USDT, USDC, BTC, ETH, SOL, and any other supported assets, can fluctuate significantly and unpredictably over short periods of time, including between the moment you fund your Wallet and the moment your balance is converted or spent. Digital Assets may lose all or substantially all of their value. You should only fund your Account with Digital Assets you can afford to lose in full.

No Guaranteed Value or Conversion Rate

Conversion of Digital Assets into a Fiat Equivalent is performed at prevailing market rates at the time of conversion, which may differ materially from rates available on other exchanges or platforms, or from the rate at the time you initiated a funding transaction. The Company does not guarantee any specific conversion rate, spread, or execution price.

Irreversibility of Blockchain Transactions

Transactions confirmed on a blockchain network are generally irreversible. If you send Digital Assets to an incorrect address, select an unsupported network, or otherwise make an error in initiating a transaction, the Company has no ability to reverse, recall, or refund that transaction. Losses resulting from such errors are borne entirely by you.

Self-Custody and Loss of Private Keys

Where your Wallet is self-custodial, you are solely responsible for the security of your private keys, seed phrases, and recovery credentials. The Company does not store and cannot recover these credentials. Loss, theft, or compromise of your private keys may result in permanent and total loss of access to your Digital Assets, with no recourse against the Company.

Cybersecurity and Fraud Risk

Digital Asset platforms, wallets, and associated infrastructure are targets for hacking, phishing, social engineering, and other forms of cyberattack. While the Company implements security measures designed to protect the Platform, no system is entirely immune to compromise. You are responsible for protecting your Account credentials and remaining vigilant against phishing attempts, fraudulent communications, and social engineering targeting your Digital Assets.

Regulatory and Legal Risk

The regulatory treatment of Digital Assets, crypto-funded card products, and related services differs across jurisdictions and continues to evolve. Future regulatory action, including new legislation, licensing requirements, or enforcement action, may restrict, suspend, or prohibit the availability of the Services in your jurisdiction, with limited or no advance notice. You are responsible for understanding and complying with the laws applicable to you.

Card Availability and Operational Risk

The Card is issued by a third-party Card Issuing Partner and operates over third-party payment networks and merchant acquiring infrastructure. Card functionality may be affected by network outages, Issuing Partner risk controls, merchant-side restrictions, geographic restrictions, or temporary suspensions for compliance review. The Company does not guarantee uninterrupted Card availability or acceptance at any specific merchant or location.

Liquidity and Network Risk

Funding and conversion transactions depend on the performance of underlying blockchain networks, which may experience congestion, elevated network fees, delays, or temporary outages outside the Company's control. Such conditions may delay the availability of funds on your Account or affect the cost of a transaction.

Third-Party Dependency Risk

The Services rely on a number of third parties, including blockchain networks, liquidity and conversion providers, the Card Issuing Partner, payment networks, and identity verification providers. The failure, insolvency, security breach, or operational disruption of any such third party may adversely affect your ability to access funds or use the Services, and may result in loss for which the Company bears no liability.

No Deposit Insurance or Government Guarantee

Digital Assets and any Fiat Equivalent balance associated with your Account are not bank deposits and are not protected by any government deposit insurance scheme or investor compensation fund. In the event of insolvency of the Company, a liquidity provider, or the Card Issuing Partner, you may lose some or all of the value associated with your Account.

Tax Responsibility

Transactions involving Digital Assets, including funding, conversion, and spending, may give rise to tax obligations depending on your jurisdiction of tax residence. The Company does not provide tax advice and is not responsible for determining or reporting your personal tax obligations. You should consult an independent tax professional regarding the treatment of your Digital Asset activity.

No Investment Recommendation

Nothing in the Services, the Platform, or the Company's marketing materials constitutes a recommendation, solicitation, or endorsement to acquire, hold, or dispose of any Digital Asset. Any decision to acquire or hold Digital Assets used in connection with the Services is made independently and at your own risk.

Changes to Supported Assets and Networks

The Company may, at its discretion, add, remove, or suspend support for particular Digital Assets or blockchain networks at any time, which may affect your ability to fund, convert, or access value held in connection with the Services. Where reasonably practicable, the Company will provide advance notice of material changes affecting existing balances.

Acknowledgment of Risk

BY USING THE SERVICES, YOU CONFIRM THAT YOU:

  • understand the speculative and volatile nature of Digital Assets;
  • understand that blockchain transactions are irreversible;
  • accept sole responsibility for the security of your private keys and Account credentials, where applicable;
  • understand that the Company does not guarantee the value, availability, or convertibility of any Digital Asset;
  • have sufficient knowledge and experience to evaluate the risks of the Services, or have sought independent advice prior to use;
  • accept that you may lose some or all of the value associated with your Account.
